Please read these Terms and Conditions (the “Terms”) carefully. These Terms form a binding agreement between QGP Limited, a company incorporated in Hong Kong with its registered address at Unit 501, 5/F, Valley Centre, No. 80–82 Morrison Hill Road, Wan Chai, Hong Kong (“QGP,” “Company,” “we,” “us,” or “our”), and the person or entity who accesses or uses our website, platform, or services (“you” or “Customer”).
By accessing or using our website at https://www.qgp.com (the “Website”), creating an account, or purchasing any services, you agree to be bound by these Terms. If you do not agree, do not access or use the Website, platform, or services.
These Terms incorporate by reference the following additional documents (collectively, the “Policies”):
If there is a conflict between these Terms and a Policy, these Terms control unless a Policy expressly states otherwise.
You represent that you are at least 18 years old, have the authority to bind your company (if you act on behalf of a company), and will use the Services for business or professional purposes. You are responsible for ensuring that your use complies with all applicable laws and industry guidelines in your jurisdiction(s).
Your use of the Website, Platform, and Services is also governed by our Privacy Policy and Cookie Policy. Please review them to understand how we collect and process personal data and how we use cookies and similar technologies.
QGP grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely to evaluate, purchase, manage, and track Services you procure from QGP. Access to the Platform is provided free of charge as part of your engagement with QGP, and may be conditioned upon continued use or purchase of Services. We may modify, suspend, or terminate Platform features at any time, with or without notice.
Restrictions. You will not (and will not permit any third party to): (a) copy, modify, adapt, translate, create derivative works of, or reverse engineer the Platform; (b) access the Platform to build a competing product or service; (c) circumvent any security or access controls; (d) use any scraper, crawler, bot, or automated means to access the Platform or our databases; (e) interfere with or disrupt the Platform’s operation; (f) remove or obscure proprietary notices.
Placing Orders. You may place orders for Services through the Platform or by written confirmation with our team. You are responsible for providing accurate specifications and Customer Content. We may accept or reject any order in our discretion.
Editorial Control & Third-Party Dependencies. Deliverables often depend on third-party publishers or platforms. Publishers may edit, reformat, relocate, add disclaimers to, or remove content according to their editorial standards. QGP does not control third-party systems, uptime, or policies. We use commercially reasonable efforts to deliver according to your order, subject to publisher availability and acceptance.
No Rankings/Traffic Guarantee. Search engines and platforms are dynamic and outside our control. QGP does not guarantee rankings, traffic, conversions, revenue, or specific SEO outcomes, and disclaims any promise of future performance. Any statements regarding potential results are non-binding, forward-looking expressions of opinion only.
Acceptance; Disputes. You must review Deliverables promptly upon delivery. Any concerns must be raised in writing within seven (7) days of delivery, failing which the Deliverables are deemed accepted. Resolution of quality or availability concerns (including replacements) is governed by our Refund Policy.
Prohibited Content / Activities. You will not request, submit, or promote content that is illegal; facilitates or depicts violence; exploits minors; incites hate; infringes IP; promotes fraud; or otherwise violates applicable law or publisher guidelines. You will not misuse the Platform, attempt to deanonymize or contact publishers to circumvent QGP, or scrape our databases.
Compliance with Search Engine & Publisher Policies. You are responsible for ensuring that your business practices, landing pages, and broader marketing comply with relevant guidelines. QGP provides professional services but not legal or regulatory advice.
Fees & Payment Methods. Fees are as quoted at the time of order or as otherwise agreed in writing. Unless stated otherwise, fees are in U.S. Dollars and exclusive of taxes. We accept PayPal and major credit/debit cards via reputable card processors.
Authorization. You authorize us (and our payment processors) to charge your selected payment method for all amounts due. For any recurring Services (e.g., monthly rentals), you authorize recurring charges until you cancel in accordance with applicable order terms.
Taxes. You are responsible for all applicable sales, use, VAT/GST, withholding, and similar taxes, duties, or levies (other than taxes on our income). If withholding applies, you will gross-up payments so we receive the amounts otherwise due.
Late Payments. Overdue amounts may accrue interest at 1.5% per month (or the maximum rate permitted by law, if less), plus reasonable costs of collection. We may suspend Services or Platform access for unpaid amounts.
No Set-Off; Chargebacks. You will not set off or withhold payments. Chargebacks are a material breach. If you initiate a chargeback without a good-faith basis, we may suspend services, and you will be liable for our reasonable costs, fees, and losses.
Refunds, replacements, store credits, timelines, and any quality/availability remedies are governed exclusively by our Refund Policy, which is incorporated by reference. These Terms do not restate refund details; please review the Refund Policy for the current rules.
QGP IP. As between you and QGP, QGP owns and retains all rights, title, and interest in and to the Website, Platform, software, databases, documentation, and all improvements and derivatives (“QGP IP”).
Deliverables. Subject to publisher rights and these Terms, upon full payment QGP grants you a non-exclusive, non-transferable right to use the Deliverables for your business purposes. Where Deliverables are hosted by third parties (e.g., publisher sites), they remain subject to those third parties’ rights and policies.
Feedback. You assign to QGP all right, title, and interest in suggestions, ideas, or feedback you provide. If assignment is not effective by law, you grant QGP a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such feedback.
Publicity. We may identify you as a QGP customer (name and logo) in client lists and marketing materials unless you email us to opt out. We may reference project outcomes in a general, non-confidential way, provided we do not disclose your confidential specifics without consent.
Confidentiality. “Confidential Information” means non-public information disclosed by a party that is marked confidential or reasonably understood as confidential (including pricing, processes, databases, and publisher relationships). Each party will: (a) use the other’s Confidential Information only to perform under these Terms; and (b) protect it with at least reasonable care. Exceptions apply for information that is public, independently developed, or rightfully obtained from a third party. Compelled disclosures are permitted with notice where lawful.
Non-Circumvention. For twelve (12) months from the later of (i) your last order date or (ii) your last access to the Platform, you will not directly or indirectly approach or engage any publisher, supplier, or partner identified or introduced by QGP for substantially similar services outside QGP.
Non-Solicitation. For twelve (12) months from the later of (i) your last order date or (ii) your last access to the Platform, you will not solicit for employment or contract any QGP employee or contractor who was materially involved in your account, except via a general solicitation not specifically targeted at QGP personnel.
The Services may involve or reference Third-Party Services. QGP is not responsible for third-party acts or omissions, terms, or policies. Your use of Third-Party Services is at your sole risk and may be subject to separate terms. QGP does not endorse or control third-party content.
Customer Warranties. You warrant that you have all necessary rights and that your use of the Services and Customer Content complies with these Terms and applicable law.
QGP Warranty. QGP will perform the Services in a professional and workmanlike manner consistent with industry standards.
Disclaimer. EXCEPT AS EXPRESSLY SET OUT ABOVE, THE WEBSITE, PLATFORM, SERVICES, DELIVERABLES, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QGP AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. QGP DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR ANY PARTICULAR RANKINGS, TRAFFIC, OR SEO RESULTS.
Some jurisdictions do not allow certain disclaimers; to that extent, this section applies to the maximum extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) Exclusion of Damages. QGP AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OR GOODWILL; LOSS, CORRUPTION, OR INACCURACY OF DATA; BUSINESS INTERRUPTION; OR SUBSTITUTE GOODS/SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
(b) Cap. QGP’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR DELIVERABLES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO QGP FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER. For recurring services, the cap is limited to fees paid in the six (6) months preceding the event giving rise to the claim.
The foregoing limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; to that extent, this section applies to the maximum extent permitted by law.
You will defend, indemnify, and hold harmless QGP, its Affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website, Platform, Services, or Deliverables; (b) Customer Content; (c) your breach of these Terms or applicable law; or (d) your interaction with Third-Party Services.
These Terms apply from your first access or order and continue until terminated. We may suspend or terminate your Account, access to the Platform, or Services immediately for any breach or suspected abuse, non-payment, fraud, unlawful conduct, or risk to the Platform, publishers, or other customers. You may terminate by ceasing use and closing your Account.
Upon termination: (i) your license to the Platform ends; (ii) all amounts due become immediately payable; and (iii) Sections intended to survive (including 6–14, 16–20) will survive. Termination is without prejudice to other remedies.
We may update these Terms from time to time. Material changes will be indicated by updating the “Last Updated” date and posting the revised Terms on the Website. Changes are effective upon posting unless a later effective date is stated. Your continued access or use after changes constitutes acceptance.
By using the Services, you consent to receive communications from us electronically (including emails, in-app notices, and Platform messages). You agree that all notices, agreements, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
Formal notices to QGP must be submitted via the contact methods on https://www.qgp.com/contact-us. We may provide notices to you via the email on your Account or through the Platform.
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, the Services, or the Deliverables are governed by the laws of Hong Kong, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, and you waive any objection to venue or forum non conveniens. QGP may seek injunctive or equitable relief in any court of competent jurisdiction to protect its IP, Confidential Information, or publisher relationships.
If you are a consumer resident in the European Union or United Kingdom, you may benefit from any mandatory provisions of your local consumer protection laws; nothing in these Terms affects those mandatory rights.
QGP will not be liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, publisher outages, platform policy changes, governmental actions, or pandemics.
Assignment. You may not assign or transfer these Terms, in whole or in part, without QGP’s prior written consent. QGP may assign these Terms without your consent.
Severability; Waiver. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force. No waiver is effective unless in writing and signed by QGP.
Entire Agreement. These Terms (together with the Policies) constitute the entire agreement between you and QGP regarding the subject matter hereof and supersede all prior or contemporaneous communications.
Headings. Headings are for convenience only and do not affect interpretation.
No Agency. The parties are independent contractors; no partnership, agency, or joint venture is created.
Export; Anti-Corruption. You represent that you are not located in a sanctioned country or on a sanctioned persons list and that you will comply with applicable export and anti-corruption laws.
